1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your use of FigureFlow's AI-powered financial services, including our applications, website, and regulatory submission services (collectively, the "Services") provided by FigureFlow AB, a company registered in Sweden ("we," "our," or "us").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.

IMPORTANT: Our Services include financial assistance and regulatory submission capabilities. Please read Section 8 (Financial Services) and Section 9 (Regulatory Submissions) carefully.

2. Definitions

• "Account": Your registered user account with FigureFlow
• "Content": Any data, information, financial records, or materials uploaded or created through our Services
• "Financial Data": All financial information, accounting records, business data, and related documents
• "Services": All FigureFlow applications, AI-powered financial tools, regulatory submission services, software, website, and related services
• "Subscription": A paid plan providing access to premium features
• "User" or "You": Any individual or entity using our Services
• "Regulatory Submission": Filing of annual reports or other documents to Bolagsverket or other authorities

3. Eligibility and Registration

3.1 Age and Authority Requirements

• You must be at least 18 years old to use our financial services
• You must have legal authority to bind your business to these Terms
• For regulatory submissions, you must be an authorized representative of the entity

3.2 Account Registration

To access our Services, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring all provided information is current and accurate

3.3 Business Verification

For regulatory submission services, we may require additional verification including:

• Business registration documentation
• Authorized representative confirmation

4. Use of Services

4.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use our Services for your business financial management and compliance purposes.

• Bolagsverket requirements and guidelines
• Tax regulations and reporting obligations
• Data protection and privacy laws

5. Subscriptions and Payments

5.1 Subscription Plans

We offer various subscription plans with different features and pricing, including:

• Basic AI financial assistance
• Premium features and analytics
• Regulatory submission services
• Enterprise solutions with enhanced support

5.2 Payment Terms

• Subscription fees are billed in advance on a recurring basis
• Regulatory submission fees are charged per filing upon successful submission
• All fees are non-refundable except as expressly stated in these Terms
• You authorize us to charge your designated payment method
• If payment fails, we may suspend or terminate your access
• All fees exclude applicable VAT unless otherwise stated

5.3 Price Changes

We may modify subscription prices with at least 30 days' advance notice. Continued use after the effective date constitutes acceptance of new pricing.

5.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of your current billing period. Note that cancellation does not affect pending regulatory submissions.

You retain ownership of all financial data and content you upload or create using our Services. By using our Services, you grant us a limited license to:

You are solely responsible for the accuracy, completeness, and legality of your financial data. You must ensure that all information provided:

• Is accurate, current, and complete
• Does not violate any laws or third-party rights
• Is properly authorized for use and submission
• Complies with applicable accounting and reporting standards

6.3 Data Security and Retention

We implement enterprise-grade security measures to protect your financial data, including:

• End-to-end encryption for data transmission and storage
• Secure data centers within the EU/EEA
• Regular security audits and compliance reviews
• Role-based access controls and audit logging
• Financial data is retained for 7 years in compliance with Swedish legal requirements.

7. Professional Standards and Limitations

7.1 Nature of AI-Powered Services

7.3 No Professional Relationship

Our Services do not create an accountant-client, attorney-client, or other professional relationship. We provide technology tools and assistance, not professional services requiring licensed expertise.

8. Financial Services

• Automated bookkeeping and reconciliation assistance
• Financial reporting and dashboard creation
• Compliance monitoring and deadline alerts

8.2 Accuracy and Validation

While our AI tools are designed to assist with accuracy:

You must review all AI-generated outputs before relying on them

We do not guarantee the accuracy of AI-generated insights or calculations

Regular reconciliation with source documents is your responsibility

Any discrepancies should be reported to us immediately

8.3 Regulatory Compliance Assistance

We provide tools to help with compliance but:

Final compliance responsibility remains with you

We do not provide legal compliance advice

Regulatory requirements may change without notice

Professional consultation is recommended for complex compliance matters

9. Regulatory Submission Services

9.1 Bolagsverket Submission Authorization

By using our regulatory submission services, you:

Authorize FigureFlow AB to submit annual reports and documents to Bolagsverket on your behalf

Confirm you have legal authority to make such submissions for your entity

Agree to review and approve all submissions before filing

Accept responsibility for the accuracy and completeness of submitted information

9.2 Submission Process

Our submission process includes:

• Preparation of reports based on your financial data
• Validation of format compliance with Bolagsverket requirements
• Secure submission on your behalf with proper authorization
• Confirmation of successful submission and receipt

9.3 Timeline and Deadlines

• Standard submissions processed within 2-5 business days of your approval
• Rush processing available for additional fees
• We provide deadline notifications but compliance timing is your responsibility
• Late submission penalties are your responsibility

9.4 Submission Liability and Responsibility

CRITICAL TERMS:

You retain full legal responsibility for all submitted reports and their accuracy

We are not liable for regulatory penalties resulting from inaccurate data you provided

All submissions require your explicit review and approval before filing

You must notify us immediately of any errors discovered after submission

We maintain audit trails of all submission activities for compliance purposes

10. Privacy and Data Protection

Your financial data is subject to enhanced protection under our Privacy Policy and Financial Data Processing Addendum. Key protections include:

Content generated by our AI tools based on your data remains your property, but we retain rights to:

11.3 Feedback

If you provide feedback or suggestions about our Services, we may use such feedback without obligation or compensation to you.

12. Service Availability and Modifications

We strive to maintain high service availability but do not guarantee uninterrupted access. Services may be temporarily unavailable due to:

14. Limitation of Liability

14.3 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIGUREFLOW AB SHALL NOT BE LIABLE FOR:

INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES

REGULATORY FINES, PENALTIES, OR SANCTIONS

LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION

DAMAGES RESULTING FROM INACCURATE DATA YOU PROVIDED

14.4 Maximum Liability

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify, defend, and hold harmless FigureFlow AB, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your failure to review submissions before approval
• Your violation of these Terms or applicable laws

16. Termination

16.1 Termination by You

You may terminate your account at any time by following the cancellation process in your account settings or by contacting support.

16.2 Termination by Us

We may suspend or terminate your account if you:

• Violate these Terms or applicable laws
• Provide false or misleading information
• Engage in fraudulent or illegal activities
• Fail to pay required fees
• Pose a security or compliance risk

16.3 Effect of Termination

Upon termination:

Your right to use the Services immediately ceases

We will complete any pending authorized submissions

You may export your data for 90 days after termination

Financial data will be retained for required retention periods

Confidentiality and liability provisions survive termination

17. Dispute Resolution

These Terms are governed by Swedish law, without regard to conflict of law principles.

17.2 Jurisdiction

Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts in Sweden.

Before initiating formal proceedings, parties agree to attempt good faith resolution through direct communication.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy and Financial Data Processing Addendum, constitute the entire agreement between you and FigureFlow AB regarding the Services.

18.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

18.3 Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations with reasonable notice.

18.4 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including regulatory changes or government actions.

18.5 Compliance with Law

Both parties agree to comply with all applicable laws, regulations, and industry standards in their performance under these Terms.

19. Updates to Terms
